Nico SEO LLC TERMS OF SERVICE
1. Access and Management of Client Accounts

Platform Access: Nico SEO LLC may request limited access to your website, hosting, or content management platform to perform SEO services. For clients under Meta or Google Ads management, Nico SEO may require Business Manager or sub-account access to create and monitor campaigns.
Client Accuracy: Clients are responsible for ensuring that all information and credentials provided are accurate. Nico SEO LLC is not liable for delays or issues caused by incorrect or incomplete information.
Security: Nico SEO LLC will safeguard all access credentials and use them solely for the services specified in the client agreement.
Website Disclaimer: Nico SEO LLC is not responsible for pre-existing or unrelated technical issues on client websites or hosting environments, including plugin errors, downtime, or SSL lapses.
Access Termination: Upon contract completion or termination, clients may revoke access, and Nico SEO LLC will discontinue service-related activity.
Ad Billing: When clients choose to retain billing control within their own Meta or Google ad accounts, Nico SEO LLC is not responsible for payment failures, account restrictions, rejected charges, or card-related issues.

2. Service Cycle & Scheduling

Rolling 30-Day Cycles: All services operate on rolling 30-day cycles aligned to the client’s designated Service Cycle Start (e.g., 1st, 7th, 14th, or 21st). Each cycle includes planning, creative production, campaign management, and reporting.
Campaign Continuity: Ad campaigns may overlap calendar months to preserve Meta learning and SEO compounding. This overlap does not change billing or cycle dates.
Delays: Nico SEO LLC is not liable for delays caused by third-party outages, ad platform moderation, or client inaction.

• Client acknowledges that creative production, SEO build-out, and campaign preparation may occur in advance of the Service Cycle Start date to ensure continuity and timely launch.

3. Contract Term & Termination

Initial Term: All agreements carry an initial six-month term designed to allow SEO and ad systems to fully build, learn, and compound.
Minimum Commitment: The first three months are a minimum commitment period. If a client cancels, pauses, or requests service termination before completing the first three months, all remaining labor from that initial three-month period becomes immediately due and payable.
Early Termination (Months 4–6): If termination occurs after the third month but before six months, client agrees to remit 30% of the remaining contracted labor balance as an early termination fee.

 Three-Month Performance Review: At the conclusion of month three, Nico SEO LLC will schedule a brief review with the Client to walk through keyword movement, campaign performance, and the growth plan for months four through six. This checkpoint ensures both parties are aligned and that the system is building toward measurable results.

Auto-Renewal: After six months, the agreement continues month-to-month unless canceled with thirty (30) days written notice.
Cancellation: Cancellations must be submitted via email to contact@nicoseo.com at least 30 days before the next billing cycle.

4. Payment Terms

Payment Method: Payments may be made by physical check, ACH bank transfer, or online invoice via PayPal, QuickBooks, or card. A 3% processing fee applies to card transactions. ACH bank transfer carries no processing fee and is the preferred payment method.

• Payment of any invoice issued by Nico SEO LLC constitutes acceptance of these Terms of Service, whether or not a formal agreement has been physically signed.

Timing: Payments are due 7–10 calendar days before the client’s Service Cycle Start date each month.
Non-Payment: If payment is not received before the Service Cycle Start date, services will pause until resolved.
Ad Budgets: When ad budgets are processed through Nico SEO, funds will be allocated directly to Meta Ads. Ad spend is non-refundable once campaigns are live.
Client-Processed Ad Spend: If the client chooses to run ad budgets through their own Meta/Google ad account, Nico SEO LLC is not responsible for payment failures, account restrictions, rejected charges, or card-related issues.

Meta Ads platforms may spend slightly more or less than the designated campaign budget due to platform delivery optimization. Minor variances in either direction are standard platform behavior and are non-refundable and non-billable. Nico SEO LLC is not responsible for overage or underspend within normal platform tolerance ranges.

5. Refund & Credit Policy

No Pro-Rated Refunds: Payments for services already rendered, scheduled, or in progress are non-refundable.
Ad Spend Refunds: Once ad dollars are spent through Meta or Google, they are non-refundable.
Prepaid Cycles: Prepaid service cycles are non-refundable after campaign or production work begins.

• If services are paused or canceled after production work has begun but before campaign launch, the client remains responsible for all labor already completed.

6. Performance Disclaimer

Nico SEO LLC will employ best practices for SEO and advertising management. However: Nico SEO LLC makes no guarantees regarding lead volume, revenue, rankings, sales performance, or business outcomes. Client understands that all marketing performance is influenced by market conditions, platform behavior, competition, and external factors beyond Nico SEO LLC’s control.

7. Client Responsibilities

Timely Material Submission: Clients must provide requested materials, approvals, and access promptly to avoid delays.
Content Accuracy: Clients are responsible for ensuring all information and creative assets provided are accurate and lawful.

All deliverables produced by Nico SEO LLC and paid for in full become the property of the Client upon payment. Nico SEO LLC retains the right to maintain internal working copies of all completed work for portfolio, reference, and quality assurance purposes.

8. Indemnification

Client agrees to indemnify and hold harmless Nico SEO LLC from any claims, damages, or losses arising from the use of services, including but not limited to copyright or trademark disputes and advertising content violations.

Client agrees that Nico SEO LLC is not responsible for claims made about the Client’s products, pricing, promotions, or legal compliance in ads or content.

9. Limitation of Liability

Nico SEO LLC’s total liability for any claim related to its services shall not exceed the lesser of:
• One (1) month of fees paid by the client, or
• Five thousand dollars ($5,000).

Nico SEO LLC is not liable for indirect, incidental, special, or consequential damages, including but not limited to lost revenue, lost leads, missed opportunities, or business interruption.

10. Data Security

Nico SEO LLC will take reasonable precautions to protect client data but is not liable for breaches or losses caused by third-party systems, hosting, or ad platforms.

11. Force Majeure

Nico SEO LLC is not responsible for any failure or delay in service due to circumstances beyond its control, including natural disasters, internet or platform outages, or governmental restrictions.

12. Legal Compliance

Clients are responsible for ensuring compliance with all applicable advertising, privacy, and marketing laws within their jurisdiction. Nico SEO LLC assumes no liability for a client’s legal non-compliance.

13. Meta / Google Ad Account Suspension & Platform Behavior

• Nico SEO LLC is not liable for account bans or suspensions by Meta, Google, or other platforms. While Nico SEO adheres to platform policy standards, final compliance responsibility remains with the client.

• Platform Behavior and Delivery Variations: Meta and Google ad platforms may occasionally default to different campaign types, objectives, or delivery settings than intended due to platform interface behavior, algorithm updates, or technical glitches outside Nico SEO LLC’s control. When this occurs, the resulting ad may appear differently than planned — for example, running as a dark ad rather than a visible boosted post, or defaulting to a different campaign objective. In such cases, the post may not appear as clickable or publicly visible on the client’s Facebook page, and engagement metrics may differ from expectations. This is a known platform behavior outside Nico SEO LLC’s control and does not constitute a service failure. Nico SEO LLC will make reasonable efforts to correct any such variations upon discovery but is not liable for performance differences, delivery changes, appearance variations, or objective mismatches caused by platform-side behavior.

14. Ad Budget Management

Ad Budget Control: For managed ad accounts, Nico SEO allocates the ad budget as defined in the signed agreement.
Non-Refundable Spend: Once Meta or Google has billed the account, ad spend is non-refundable.
Budget Adjustments: Clients may request ad budget increases or decreases in writing. Adjustments require approval and may necessitate a revised agreement.

15. Governing Law

This agreement is governed by the laws of the State of New York. Any disputes shall be resolved in Erie County, NY.

16. Client Insurance Requirement

Client agrees to maintain its own general liability and/or professional liability insurance. Nico SEO LLC is not required to carry additional insurance unless explicitly agreed upon in writing prior to service commencement.
