Terms of Service

1. Access and Management of Client Accounts

• Website & Platform Access: Nico SEO LLC will request limited access to your website through your web host or content management platform to perform SEO services. For clients utilizing the Orbiting Growth & Stellar Success Packages, Nico SEO will request management-level access to Meta marketing platforms or Google Ads (if applicable) to provide the necessary advertising and marketing services.

• Client Responsibilities: Clients are responsible for ensuring that the necessary information provided to Nico SEO LLC is accurate. Nico SEO LLC will not be liable for issues arising from incorrect or incomplete information provided by the client.

• Security of Accounts: Any access to client accounts will be secured by Nico SEO LLC, and access will be exclusively for the services outlined in the agreement.

• Termination of Access: Upon termination of the agreement, all services will cease, and the client may remove Nico SEO LLC’s access.

2. Timing of Service Execution

• No Specific Time Commitment: Nico SEO LLC does not commit to performing services at any specific time of the month, but all work outlined in the agreement will be completed within the agreed timeframe, provided payment has been processed.

• Delays: Delays caused by third-party vendors, platform outages, or client inaction are not the responsibility of Nico SEO LLC.

3. Contract Term and Termination

• Service Start Date: Services will begin on the 1st day of each month.

• Termination: The agreement remains active until either party provides written notice of termination. If the agreement is terminated mid-month, Nico SEO LLC will provide a pro-rated refund based on services performed up to the termination date.

• Pro-Rated Refund: If the contract is terminated during a billing cycle, Nico SEO LLC will issue a pro-rated refund for services not yet performed. Payments for services already completed are non-refundable.

4. Payment Terms

• Invoice Issuance & Due Date: Invoices are sent on the 25th of each month for the following month’s services and are due by the 1st. Services will not commence if payment is not received by the 1st.

• Non-Refundable Payments: Payments are non-refundable once services have been rendered.

• Suspension of Services: If payment is not received by the 1st of the month, services will not begin until payment is received.

5. No Guarantee of Results

• Performance Disclaimer: Nico SEO LLC strives to deliver the best possible outcomes for your business, but due to external factors such as competition, market trends, and platform algorithm changes, specific results cannot be guaranteed. Nico SEO LLC is not responsible for underperformance or non-performance of advertisements or strategies implemented.

6. Client Responsibilities

• Material & Information Provision: Clients must provide Nico SEO LLC with all necessary materials and information in a timely manner to ensure proper service delivery.

• Accuracy of Information: Nico SEO LLC is not liable for issues arising from incomplete or incorrect information provided by the client.

7. Refunds and Pro-Rated Services

• Pro-Rated Refunds: If services are terminated mid-cycle, Nico SEO LLC will provide a pro-rated refund for services not yet performed.

• Non-Refundable Payments: Payments made for services already completed are non-refundable.

8. Indemnification
Clients agree to indemnify and hold harmless Nico SEO LLC from any claims, damages, or losses arising from the use of our services, including but not limited to issues related to copyright, trademark, or defamatory content used in marketing.

9. Limitation of Liability
Nico SEO LLC is not liable for any indirect, incidental, or consequential damages arising from the services provided.

10. Data Security
Nico SEO LLC will make reasonable efforts to ensure the security and confidentiality of client data. Nico SEO LLC is not liable for data breaches, unauthorized access, or data loss unless caused directly by our negligence.

11. Force Majeure
Nico SEO LLC is not liable for any delays or failures in service due to causes beyond our control, including but not limited to natural disasters, internet outages, third-party service interruptions, or other unforeseen events.

12. Legal Compliance
Nico SEO LLC makes no representations or warranties that its services comply with the laws or regulations of any jurisdiction. Clients are responsible for ensuring that their use of services complies with applicable laws, including those related to advertising and online marketing.

13. Meta Ban/Suspension Clause
Nico SEO LLC is not liable for account bans, suspensions, or penalties issued by Meta/Facebook for content deemed to violate community guidelines. While Nico SEO will make every effort to ensure compliance with platform policies, responsibility for adhering to those guidelines rests with the client.

14. Ad Budget Management & Refund Policy (For Orbiting Growth & Stellar Success Packages)

• Ad Budget Management: For clients in the Stellar Success Package, Nico SEO will manage the agreed-upon Meta ad budget. Ad budgets are separate from Nico SEO’s management services and must be clearly defined in the agreement.

• No Refunds on Ad Spend: Once ad dollars are spent through Meta Ads, they are non-refundable. If services are terminated mid-campaign, Nico SEO LLC will pause or cancel remaining ads, but no refund will be provided for already spent funds.

15. Google Ads Terms of Service

• Google Ads Management & Setup: For clients utilizing Google Ads, Nico SEO LLC will manage and monitor all ad campaigns. This includes creating ad copy, images (if available), destination links, call-to-actions, geographic targeting, keyword selection, and campaign scheduling.

• Sub-Account Setup: Google Ads campaigns will be run through sub-accounts owned and managed by Nico SEO LLC, so clients do not need to manage their own Google Ads account.

• Ad Budget Adjustments: Clients can adjust their ad spend at any time, with written notice. Any changes will require a revised agreement reflecting the new budget.

• Ad Spend & Non-Refundable Policy: Once ad dollars are spent on Google Ads, they are non-refundable. If services are stopped mid-campaign, Nico SEO LLC will pause or cancel the remaining ad budget.

• Performance Disclaimer for Google Ads: Nico SEO LLC will optimize campaigns using best practices, but cannot guarantee specific results due to external factors like competition and platform algorithm changes.

• Ad Compliance & Suspension: While Nico SEO LLC ensures ads comply with Google’s advertising policies, clients are responsible for the content and nature of their business and must comply with Google’s policies. Nico SEO LLC is not liable for any account suspension or penalties imposed by Google.
  

• Ad Budget Fluctuations: Due to the nature of Google Ads’ billing and daily budget pacing, the total ad spend may slightly vary from the depicted budget. This fluctuation could occur due to daily pacing algorithms, the ad’s duration, or changes in the campaign’s schedule. Any variance in the final spend, whether above or below the budgeted amount, will be communicated to the client.
